Trading Terms I/We/The Company hereby make application to open a credit account with E.C.Birch Pty Ltd in accordance with its conditions of sale which we acknowledge. I/We understand that your terms of payment are 3% discount. If paid within 10 days of invoice date, 2.5% discount if paid on or before the 30th of the following month otherwise strictly nett. If at any time the monies are overdue then the entire account then becomes due and E.C.Birch Pty Ltd is justified in proceeding legally to recover the whole debt. We agree to pay the whole of the legal costs and disbursements and any Collection Agent's fees and commission incurred by E.C. Birch in order to collect any amount owing by us. Any display panel units provided are on a loan basis only and remain the property of E.C. Birch Pty Ltd. E.C.BIRCH PTY LTD REQUIRE YOUR AGREEMENT TO A ROMALPA CLAUSE WHICH STATES 1. The risk in the goods the subject of this dispatch (goods) shall pass to the purchaser on delivery. 2. The property in the goods remain with E.C.Birch Pty Ltd until full payment for the goods and any other goods which may have been or which may be delivered by the vendor to the purchaser and for which payment has not been received, is received by the vendor from the purchaser. 3. The Purchaser shall hold the goods as bailee for the vendor until payment in full has been received. 4. In the event that the goods are sold by the purchaser prior to the Vendor receiving payment in full and whether or not the goods have become constituents of other goods, the proceeds of sale of the goods shall belong to the Vendor and they shall be received and held by the purchaser on trust for the Vendor.
